**Vendor Agreement**

This Vendor Agreement (the "Agreement") is entered into between Howe Island Rockin the

Rock Music Festival (hereinafter referred to as the "Festival") and the undersigned independent

vendor (hereinafter referred to as the "Vendor").

**1. Event Details:**

- Howe Island Rockin the Rock Music Festival

- July 20 2024

- 46 Picketts Lane, Howe Island K7G2V6

**2. Terms and Conditions:**

- **2.1 Booth Space:**

- The Festival agrees to provide the Vendor with a designated booth space at the event

venue for the purpose of conducting sales.

- **2.2 Set-Up and Tear-Down:**

- The Vendor agrees to set up and occupy the designated booth space only during the

agreed-upon hours of the event. Tear-down must occur after the official event closing time.

- **2.3 Merchandise:**

- The Vendor is responsible for supplying and displaying their merchandise during the

event.

- **2.4 Compliance with Laws:**

- The Vendor agrees to comply with all local, provincial, and federal laws and regulations

pertaining to their sales and business operations.

- **2.5 Liability Insurance:**

- The Vendor is required to maintain liability insurance coverage for the duration of the

event. The Festival shall not be held responsible for any loss, damage, or theft of the Vendor's

merchandise.

- **2.6 Festival Policies:**

- The Vendor agrees to abide by all festival policies and guidelines, as communicated by

the Festival organizers.

**3. Indemnification:**

- The Vendor agrees to indemnify and hold harmless Howe Island Rockin the Rock Music

Festival, its organizers, and affiliated entities from any claims, liabilities, damages, or expenses

arising out of the Vendor's participation in the event.

**4. Termination:**

- Either party may terminate this Agreement in writing with notice if the other party breaches

any material term or condition of this Agreement.

**5. Governing Law:**

- This Agreement shall be governed by and construed in accordance with the laws of the

Province of Ontario.

**6. Entire Agreement:**- This Agreement constitutes the entire understanding between the Festival and the Vendor

and supersedes all prior agreements, whether oral or written.
